These Terms govern your use of the EX in Education website and platform (the "Service"). If your District has signed an order form or master agreement with us, that agreement controls where it conflicts with these Terms.
By accessing the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you're authorized to bind it.
EX in Education provides an employee-experience platform for schools, districts, and campuses. We may update features over time. The Service is a system of engagement intended to operate alongside, not replace, your systems of record.
You're responsible for safeguarding credentials and for activity under your account. Notify us promptly of any unauthorized use.
As between the parties, the District owns its data. The District grants us a limited license to host and process that data solely to provide and support the Service, consistent with our Privacy Policy and any applicable Data Privacy Agreement.
You agree not to misuse the Service, including by reverse-engineering it, interfering with its operation, attempting unauthorized access, or uploading unlawful content.
Fees, term, and payment are as set out in your order form. Unless stated otherwise, fees are billed annually and are non-refundable except as required by law.
We retain all rights in the Service, software, and brand. These Terms grant no rights except the limited right to use the Service.
Each party will protect the other's confidential information and use it only as needed to perform under these Terms or an applicable agreement.
The Service is provided "as is" to the extent permitted by law. We disclaim implied warranties not expressly stated in a signed agreement.
To the extent permitted by law, neither party is liable for indirect or consequential damages; any direct liability is limited as set out in the applicable signed agreement.
These Terms apply while you use the Service. We may suspend or terminate access for violations; upon termination we provide data export and deletion as described in our Privacy Policy and DPA.
These Terms are governed by the laws specified in your signed agreement, or otherwise by applicable U.S. law.
We may update these Terms and will revise the "last updated" date; material changes affecting Districts will be handled per our agreements.
